The agreement between you and SignalRaven: what we do, what you do, and how we work together.

These Terms of Service (“Terms”) are a legally binding agreement between you (“Customer,” “you,” or “your”) and Montauk Ventures(“SignalRaven,” “we,” “us,” or “our”). These Terms govern your access to and use of SignalRaven's products, websites, applications, and related services (collectively, the “Service”).
By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
§01
Definitions.
(a)“AI Output” means any content generated or assisted by machine learning or artificial intelligence within the Service (including summaries, classifications, scores, and suggested messaging).
(b)“Customer Data” means information you submit to the Service, such as account details, ICP settings, keywords, competitor lists, configurations, and destination settings.
(c)“Destinations” means third-party systems you connect to receive Signals (e.g., Clay, Salesforce, HubSpot, Slack, Google Sheets, webhooks).
(d)“Signals” means outputs produced by the Service, which may include professional profile references, engagement context, scores, match decisions, summaries, and suggested messaging.
(e)“Third-Party Sources” means platforms, websites, and providers not controlled by SignalRaven (including LinkedIn and data providers).
(f)“Authorized Users” means your employees and contractors acting on your behalf who you permit to access the Service.
§02
Account, access, and security.
(a)Registration. You must provide accurate information and keep it current.
(b)Security. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
(c)Authorized Users.You are responsible for your Authorized Users' access and compliance with these Terms.
(d)Eligibility. You must be at least 18 years old to use the Service.
(e)Suspension / refusal. We may refuse, suspend, or terminate access at any time, with or without notice, to protect the Service, SignalRaven, our customers, or third parties.
§03
Service scope; changes; beta.
(a)Service changes. We may add, modify, or remove features at any time. The Service may evolve and may not remain available in its current form.
(b)Beta / early access.If the Service (or any feature) is labeled beta, preview, or early access (“Beta”), it is provided AS IS, may be unstable, and may be changed or discontinued at any time without liability.
(c)No SLA unless stated. Unless you have a separate written agreement that includes an SLA, the Service is provided without service-level commitments.
§04
Subscriptions, usage, and payment.
(a)Fees. You agree to pay the fees for your plan. Fees are billed in advance on a recurring basis unless otherwise stated.
(b)Auto-renewal. Subscriptions renew automatically until canceled. Cancellation takes effect at the end of the current billing period.
(c)No refunds. All fees are non-refundable except where required by law or expressly stated by SignalRaven in writing.
(d)Taxes. Fees do not include taxes. You are responsible for applicable taxes, except taxes based on our income.
(e)Non-payment. We may suspend or terminate the Service for non-payment. You remain responsible for unpaid amounts.
(f)Plan / price changes. We may change plans, limits, or pricing with prior notice. Continued use after the effective date constitutes acceptance.
§05
Acceptable use.
You may use the Service only for lawful B2B business purposes. You will not, and will not allow others to:
(a)Violate laws, including privacy, data protection, anti-spam, and marketing laws (e.g., CAN-SPAM, TCPA, CASL, GDPR / UK GDPR, CCPA / CPRA).
(b)Send unlawful or abusive outreach, spam, or bulk unsolicited messages.
(c)Use the Service for eligibility decisions (e.g., credit, employment, housing, insurance) or other regulated decisioning use cases.
(d)Sell, sublicense, or redistribute the Service, Signals, or AI Output outside your organization.
(e)Use the Service or outputs to build or improve a competing product or service.
(f)Reverse engineer, decompile, probe, extract source code, or circumvent technical limits, access controls, or security measures.
(g)Access or attempt to access another customer's data or SignalRaven systems.
(h)Misrepresent Signals or AI Output as verified facts without appropriate human review.
We may immediately suspend or terminate accounts for violations of this Acceptable Use section.
§06
Customer data and permissions.
(a)Your responsibilities. You represent that you have the right to provide Customer Data to SignalRaven and to connect Destinations.
(b)Data minimization. You should not submit sensitive personal data unless we explicitly agree in writing.
(c)Use of Customer Data. We use Customer Data to provide, maintain, secure, and improve the Service.
(d)Aggregated / de-identified data. We may use aggregated and de-identified usage data to operate, improve, and market the Service, provided it does not identify you or any individual.
§07
Third-party sources and destinations.
(a)Third-party dependency. The Service depends on Third-Party Sources. We do not control them and do not guarantee their availability, accuracy, completeness, or continued access.
(b)Changes outside our control. Third-Party Source changes may reduce or interrupt functionality. This is not a breach of these Terms and does not entitle you to refunds.
(c)No affiliation. SignalRaven is not affiliated with or endorsed by LinkedIn or other third parties.
(d)Destinations. You are responsible for configuring Destinations and for any data once it leaves SignalRaven.
§08
AI output.
(a)No accuracy guarantee. AI Output may be inaccurate, incomplete, biased, or inappropriate.
(b)Human review required. You are responsible for reviewing and verifying AI Output before using it in outreach, messaging, or business decisions.
(c)No professional advice. AI Output is informational only and is not legal, compliance, or professional advice.
§09
Intellectual property.
(a)SignalRaven IP. SignalRaven owns the Service, including software, models, scoring methods, workflows, and documentation. No ownership transfers to you.
(b)Your IP. You retain ownership of Customer Data you provide.
(c)License to use Signals / AI Output. During your subscription term, SignalRaven grants you a limited, non-exclusive, non-transferable license to use Signals and AI Output only for your internal business purposes. This license ends when your subscription ends.
(d)Feedback. If you provide feedback, you grant SignalRaven a perpetual, irrevocable, worldwide, royalty-free license to use it without compensation.
§10
Confidentiality.
Non-public information about the Service (including Beta features, pricing, roadmaps, and performance) is SignalRaven's confidential information. You will not disclose SignalRaven's confidential information to third parties without prior written permission.
§11
Termination.
(a)By you. You may cancel at any time; cancellation is effective at the end of your billing period.
(b)By SignalRaven. We may suspend or terminate your access at any time, with or without cause, including for violations of these Terms.
(c)Effect. Upon termination, your right to access the Service ends and your license to use Signals and AI Output ends. We may delete Customer Data in accordance with our retention practices.
(d)Survival. Sections intended to survive termination survive (including Acceptable Use, Intellectual Property, AI Output, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution).
§12
Disclaimers.
The Service, Signals, third-party data, and AI Output are provided “AS IS” and “AS AVAILABLE.” To the maximum extent permitted by law, SignalRaven disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, accuracy, non-infringement, and uninterrupted or error-free operation.
§13
Limitation of liability.
(a)No indirect damages. To the maximum extent permitted by law, SignalRaven will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business opportunity, data, or use.
(b)Liability cap (paid subscriptions).SignalRaven's total aggregate liability will not exceed the lesser of: (i) the fees paid by Customer in the twelve (12) months immediately preceding the event giving rise to the claim; or (ii) $500.
(c)Liability cap (free / trial / beta).For any free, trial, beta, preview, or early access use, SignalRaven's total aggregate liability is $0.
(d)Applies to all claims. The limitations in this Section apply to all claims and causes of action, whether based in contract, tort (including negligence), strict liability, statute, or otherwise.
(e)Jurisdictional limits. Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages. In such jurisdictions, liability will be limited to the maximum extent permitted by law.
§14
Indemnification.
You will defend, indemnify, and hold harmless SignalRaven and its officers, directors, employees, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service, Signals, or AI Output.
- Your outreach, communications, or marketing activities.
- Your violation of laws or third-party rights (including privacy and marketing laws).
- Customer Data you provide.
- Your Destinations and any downstream processing of data.
§15
Dispute resolution; arbitration; class action waiver.
(a)Governing law. New York law governs these Terms, excluding conflict of laws rules.
(b)Informal resolution first. Before filing a claim, you agree to contact us at legal@zygnal.net and attempt to resolve the dispute for 30 days.
(c)Arbitration. If unresolved, disputes will be resolved by binding arbitration under AAA Commercial Arbitration Rules, by one arbitrator, in New York, NY or remotely.
(d)Class action waiver. You agree disputes will be brought only on an individual basis; you waive any right to participate in a class action or class arbitration.
(e)Injunctive relief. Either party may seek injunctive relief in court for IP infringement, unauthorized access, or confidentiality breaches.
§16
Miscellaneous.
(a)Entire agreement. These Terms (and any referenced policies) are the entire agreement between you and SignalRaven about the Service.
(b)Severability. If a provision is unenforceable, the remainder remains in effect.
(c)Assignment.You may not assign these Terms without SignalRaven's consent. SignalRaven may assign them as part of a merger, acquisition, or sale of assets.
(d)Force majeure. SignalRaven is not liable for delays or failures due to events beyond our reasonable control, including Third-Party Source restrictions.
(e)Notices. We may notify you by email to the address on your account.
